Terms of Service

Effective April 10, 2026 (revised) · Governed by North Carolina law

These Terms of Service ("Terms") govern your access to and use of OperatorIQ ("Service"), operated by OperatorIQ LLC, a North Carolina limited liability company ("OperatorIQ," "we," "us," or "our"). By creating an account, subscribing to a plan, or accessing the demo, you agree to be bound by these Terms. If you do not agree, do not use the Service.


1. The Service

OperatorIQ is a software-as-a-service (SaaS) platform that connects to your QuickBooks, Square, and Xero accounts via OAuth, analyzes your financial data using artificial intelligence, and delivers insights, reports, dashboards, and financial analysis tools through a private web portal. The Service is provided as-is for informational and analytical purposes only.

The Service includes, but is not limited to: a live financial dashboard, AI-generated financial insights ("OIQ Analysis"), pricing intelligence tools, product performance analysis, revenue forecasting, goal tracking, document storage, weekly digest emails, threshold alert notifications, and access to the Ask Thalen AI analyst chat feature.

For subscribers who activate Thalen Vision, the Service additionally includes physical hardware and AI-powered video intelligence features: AI-assisted object and activity detection at your premises via connected IP cameras, plain-English AI narrations of detected events, a mobile detection event feed, daily push notification digest, and camera status monitoring. Thalen Vision is governed by the additional terms in Sections 18 through 21, which are incorporated into and form part of these Terms upon your activation of any Thalen Vision feature or hardware device.


2. AI Analysis Disclaimer — Read Carefully

IMPORTANT: ALL AI-GENERATED CONTENT, INCLUDING OIQ ANALYSIS, ASK OIQ RESPONSES, PRICING RECOMMENDATIONS, REVENUE FORECASTS, AND ANY OTHER AI OUTPUT IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE FINANCIAL ADVICE, ACCOUNTING ADVICE, TAX ADVICE, LEGAL ADVICE, OR INVESTMENT ADVICE OF ANY KIND.

AI-generated insights are produced by large language models that may generate inaccurate, incomplete, or misleading information. You acknowledge and agree that:

  • You will not rely solely on OIQ Analysis to make financial, operational, pricing, hiring, or investment decisions.
  • You will consult qualified financial, accounting, or legal professionals before making material business decisions.
  • OperatorIQ is not liable for any losses resulting from your reliance on AI-generated content.
  • AI outputs should be treated as a starting point for analysis, not a final answer.
  • Benchmarks and industry comparisons are estimates derived from aggregated data, not guarantees of market conditions.

3. Accounts and Eligibility

You must be at least 18 years old and have the legal authority to enter into a binding contract on behalf of yourself or your business. The Service is intended for business use only and is not for personal, family, or household purposes.

You are responsible for maintaining the security of your account credentials. Notify us immediately at legal@myoperatoriq.com if you suspect unauthorized access.


4. Subscriptions, Billing, and Founding Rates

The Service is offered on a monthly subscription basis, billed in advance via Stripe. Current standard pricing: Solo/SMB ($199/month), Multi-Location ($399/month), Enterprise ($799/month).

FOUNDING MEMBER RATES: The first 5 subscribers at each tier lock in their rate permanently for continuous active subscriptions. Founding rates: Solo/SMB $99/month, Multi-Location $199/month, Enterprise $499/month. Founding rates are non-transferable. Cancellation forfeits the founding rate — standard pricing applies upon resubscription.

5. Refund Policy and Cancellation

New Subscriber Guarantee: First-time subscribers may request a full refund within 30 days of their first payment by contacting legal@myoperatoriq.com. This applies once per customer and not to renewals.

Cancellations: Cancel at any time through the billing portal. Your subscription remains active through the end of the current billing period. No partial refunds for unused days. After cancellation, your data is accessible for 30 days, then deleted.


6. Free Trial and Demo

Free Trial: OperatorIQ may offer a 14-day free trial. No payment is collected until the trial ends. Cancel before the trial ends to avoid any charge. After the trial period, your subscription automatically converts to paid unless cancelled. Free trials are available once per customer.

Demo: The demo at myoperatoriq.com/demo uses fictional business data (Harvest Kitchen Co.) for demonstration purposes only. Submitting your email to access the demo opts you in to receive informational communications. Demo access does not create an account or subscription.


7. Data and Integrations

By connecting QuickBooks, Square, or Xero to OperatorIQ, you authorize us to access, retrieve, store, and analyze your financial data solely to provide the Service. OAuth tokens are encrypted at rest using AES-256-GCM. You may disconnect any integration at any time from the Connections page.

You represent that you have the legal right and authority to connect any third-party accounts to OperatorIQ. OperatorIQ is not responsible for errors, outages, or data changes originating from QuickBooks, Square, Xero, or any other third-party integration.

Documents you upload are stored in encrypted cloud storage (Cloudflare R2). You retain full ownership of all uploaded documents.


8. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to reverse engineer, decompile, or extract the underlying AI models or source code
  • Use the Service to process data for which you do not have authorization
  • Resell, sublicense, or transfer access to the Service without written consent
  • Circumvent rate limits, security measures, or access controls
  • Use automated tools to scrape or extract data from the Service
  • Use the Service in any manner that could damage or impair OperatorIQ's infrastructure
  • Submit false, fraudulent, or misleading information in connection with your account

9. Intellectual Property and De-identified Data

The Service, including all software, AI models, prompts, designs, and trademarks, is owned by OperatorIQ LLC. You retain ownership of all data and financial information you provide. You grant OperatorIQ a limited, non-exclusive license to access, process, and analyze your data solely to provide the Service.

OperatorIQ may create de-identified, aggregated industry benchmarks ("Benchmark Data") derived from data across multiple clients. Benchmark Data cannot identify you or your business. Before including your data in Benchmark Data, OperatorIQ will provide at least 30 days written notice and an opt-out mechanism. Your opt-out will be honored before any inclusion occurs. OperatorIQ owns all rights to Benchmark Data.


10. Mutual Indemnification

Your indemnification of OperatorIQ: You agree to indemnify and hold harmless OperatorIQ LLC and its officers, employees, and agents from claims arising from: (a) your use of the Service in violation of these Terms; (b) your violation of applicable law; (c) data you submit that infringes third-party rights; or (d) misrepresentations made in connection with your account.

Additional indemnification for Thalen Vision: If you use Thalen Vision, your indemnification obligations additionally cover claims arising from: (e) your failure to post required surveillance notices or obtain required consents at monitored premises; (f) your use of the Service to monitor any individual in violation of any biometric privacy law, including the Illinois Biometric Information Privacy Act (740 ILCS 14/1 et seq.), Texas Capture or Use of Biometric Identifier Act (Tex. Bus. & Com. Code §§ 503.001–503.004), California Consumer Privacy Act (Cal. Civil Code § 1798.100 et seq.), or any substantially similar law; (g) your deployment of the Service to monitor union employees in violation of any collective bargaining agreement or the National Labor Relations Act (29 U.S.C. §§ 157, 158); (h) any third-party claim by any employee, patron, visitor, or individual captured by your cameras alleging violation of their privacy, biometric, surveillance, or wiretapping rights; or (i) your violation of any prohibition in Section 20 of these Terms.

OperatorIQ's indemnification of you: OperatorIQ agrees to indemnify you against third-party claims alleging that the Service itself (excluding your data or third-party integrations) infringes a valid U.S. intellectual property right, provided you promptly notify OperatorIQ, give OperatorIQ control of the defense, and cooperate reasonably.


11. Limitation of Liability

Important:TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPERATORIQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OPERATORIQ'S TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF: (a) FEES YOU PAID IN THE THREE MONTHS PRECEDING THE CLAIM, OR (b) $100.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. OPERATORIQ EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.


13. Force Majeure

OperatorIQ shall not be liable for any failure or delay in performance caused by circumstances beyond OperatorIQ's reasonable control, including acts of God, natural disasters, war, government action, internet or telecommunications failures, power outages, or the unavailability of third-party services integral to the Service (including QuickBooks, Square, Xero, Anthropic, Stripe, and Vercel).


14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law provisions. Before initiating any formal legal proceeding, both parties agree to attempt good-faith informal resolution for at least 30 days after written notice of the dispute.

Any unresolved disputes shall be resolved exclusively in the state or federal courts located in Iredell County, North Carolina. You consent to personal jurisdiction in those courts.


15. Changes to Terms

OperatorIQ may modify these Terms at any time. We will notify you of material changes by email at least 14 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance. If you do not agree to updated Terms, cancel your subscription before the effective date.


16. Termination and Data Export

Either party may terminate this agreement at any time. You may terminate by cancelling your subscription. OperatorIQ may terminate your access immediately for breach of these Terms.

Data Export: Upon cancellation or termination, you have 30 days to export your data. Your portal remains accessible in read-only mode for data export during this window. After 30 days, data is permanently deleted. Contact legal@myoperatoriq.com for export assistance. Sections 2, 9, 10, 11, 12, and 14 survive termination.

18. Thalen Vision — Hardware & Video Intelligence Service

Thalen Vision is a physical hardware and AI-powered video intelligence service offered by OperatorIQ. It consists of: (a) a Raspberry Pi 5-based hardware device ("Vision Hardware") that connects to your existing IP cameras via RTSP streams; (b) on-device computer vision software that detects objects and activities at your premises; (c) cloud-based AI analysis using Anthropic's Vision API to generate plain-English narrations of detected events; and (d) associated mobile application features, push notifications, and detection history within the OperatorIQ platform. Sections 18 through 21 govern your use of Thalen Vision and supplement the general Terms above.

No Biometric Data Collection

Thalen Vision uses computer vision models for object and activity detection only. The Service does not perform facial recognition, does not compute biometric identifiers or face geometry templates, does not create biometric profiles of individuals, and does not identify or attempt to identify specific individuals captured on camera. The Service detects the presence of objects, people, vehicles, and activities for the purpose of generating situational awareness narrations only. This is a permanent architectural constraint of the Service.

You may not modify, supplement, or integrate any facial recognition, biometric identification, emotion recognition, gait recognition, or person re-identification technology with Thalen Vision Hardware or Software without OperatorIQ's express written consent.

Hardware Custody and Responsibility

You are responsible for the physical security of Vision Hardware at your premises, preventing unauthorized access to the device and connected cameras, and ensuring Vision Hardware is connected only to networks and camera systems you own or have lawful authorization to access. Notify OperatorIQ immediately at legal@myoperatoriq.com if Vision Hardware is lost, stolen, tampered with, or compromised.

AI Narration Disclaimer

AI narrations produced by Thalen Vision describe what the AI model perceives in detected video frames. These narrations may be inaccurate, incomplete, or misleading. Thalen Vision is not a substitute for professional security services, licensed security personnel, or emergency response. OperatorIQ is not liable for security incidents, property loss, or personal harm regardless of whether Thalen Vision was operational, detected an event, or generated a narration.


19. Video Surveillance — Customer Compliance Obligations

IMPORTANT: Video surveillance is governed by a complex patchwork of federal and state laws. By using Thalen Vision, you represent and warrant that your deployment complies with all applicable laws. OperatorIQ cannot provide legal advice about your specific deployment. Consult qualified legal counsel before deploying Thalen Vision, particularly in high-risk jurisdictions identified in Section 21.

You are solely responsible for all of the following:

  • Notice posting. Posting visible signage at all monitored locations notifying individuals that AI-assisted video surveillance is in use. This requirement is mandated or strongly advisable in virtually all U.S. jurisdictions. OperatorIQ provides suggested signage language upon request but bears no responsibility for your failure to post required notices, including under New York City Administrative Code § 22-1202 or any similar local ordinance.
  • Employee notification. Providing required advance written notice to your employees of electronic monitoring where required by law, including under New York Labor Law § 52-c, Connecticut General Statutes § 31-48d, and 19 Del. C. § 705.
  • Biometric law compliance. Ensuring your deployment does not trigger applicable biometric privacy laws, including the Illinois Biometric Information Privacy Act (740 ILCS 14/1 et seq.), Texas Capture or Use of Biometric Identifier Act (Tex. Bus. & Com. Code §§ 503.001–503.004), California Consumer Privacy Act as amended by CPRA (Cal. Civil Code § 1798.100 et seq.), Colorado Privacy Act (C.R.S. § 6-1-1301 et seq.), Virginia CDPA (Va. Code § 59.1-575 et seq.), and any substantially similar state or local law.
  • Labor law compliance. Ensuring deployment complies with any applicable collective bargaining agreement and the National Labor Relations Act (29 U.S.C. §§ 157, 158), including any bargaining obligation with respect to new workplace monitoring technology.
  • Premises authorization. Owning, leasing, or otherwise having legal authorization to surveil all premises where Vision Hardware is deployed and all areas captured by connected cameras.
  • OSHA and workplace safety. Complying with all applicable federal and state workplace safety laws regarding electronic monitoring of employees.
  • Privacy-protected areas. Ensuring no camera connected to Thalen Vision captures any area where individuals have a reasonable expectation of privacy, including bathrooms, locker rooms, changing areas, medical examination areas, or any other such area restricted under applicable law.

OperatorIQ's indemnification obligations under Section 10 do not extend to claims arising from your failure to satisfy any obligation in this Section 19.


20. Prohibited Uses of Thalen Vision

In addition to Section 8, the following uses of Thalen Vision are expressly prohibited:

  • Audio capture. Using Vision Hardware or Software to capture, record, transmit, or analyze audio. All IP cameras connected to Thalen Vision must have audio disabled. Capturing audio without all-party consent may violate federal wiretapping law (18 U.S.C. §§ 2510–2523) and the laws of multiple states.
  • Covert surveillance. Monitoring individuals without legally required notice or in circumstances where they have a reasonable expectation of privacy.
  • Law enforcement support. Using Thalen Vision to assist law enforcement investigations or sharing video data with government agencies absent a valid legal process (subpoena, warrant, or court order).
  • Cross-location individual tracking. Tracking, monitoring, or building profiles of specific individuals across multiple locations or premises.
  • Biometric augmentation. Adding, integrating, or enabling any facial recognition, biometric identification, emotion recognition, gait recognition, or person re-identification technology with Vision Hardware or Software.
  • Residential surveillance without consent. Monitoring a private residence without the authorization of the owner and all lawful occupants.
  • Harassment or stalking. Monitoring, harassing, intimidating, or stalking any individual.
  • Resale of video data. Selling, licensing, sharing, or commercially exploiting video frames or AI narrations generated by Thalen Vision.
  • Unauthorized key sharing. Providing Thalen Vision API keys or credentials to any unauthorized third party without OperatorIQ's written consent.

Violation of any prohibition in this Section 20 constitutes a material breach of these Terms and entitles OperatorIQ to immediately terminate your Thalen Vision access without refund. OperatorIQ will cooperate with law enforcement investigations of violations of this Section.


21. Geographic Restrictions — Thalen Vision

Illinois — Not Currently Available: Thalen Vision is not currently available for deployment at any location within the State of Illinois. You may not activate, configure, or operate Thalen Vision Hardware or Software at any Illinois location without express prior written authorization from OperatorIQ. The Illinois Biometric Information Privacy Act (BIPA, 740 ILCS 14/1 et seq.) imposes substantial compliance obligations and per-violation private right-of-action liability that require dedicated legal review before offering this service in Illinois.

Thalen Vision is currently available for deployment within the contiguous United States only (excluding Illinois per above). International deployment is not available. You may not ship, export, configure, or operate Vision Hardware outside the United States without OperatorIQ's prior written consent. International deployment may trigger obligations under the EU General Data Protection Regulation (GDPR), EU AI Act, Canada's PIPEDA, Quebec's Law 25, or other laws for which OperatorIQ has not established compliance processes.

OperatorIQ reserves the right to expand or restrict geographic availability of Thalen Vision as compliance review is completed. Geographic restrictions in this Section 21 do not affect your access to the financial analytics features described in Sections 1–17.
