OperatorIQ is a software-as-a-service (SaaS) platform that connects to your QuickBooks, Square, and Xero accounts via OAuth, analyzes your financial data using artificial intelligence, and delivers insights, reports, dashboards, and financial analysis tools through a private web portal. The Service is provided as-is for informational and analytical purposes only.
The Service includes, but is not limited to: a live financial dashboard, AI-generated financial insights (“OIQ Analysis”), pricing intelligence tools, product performance analysis, revenue forecasting, goal tracking, document storage, weekly digest emails, threshold alert notifications, and access to the Ask Thalen AI analyst chat feature.
IMPORTANT: ALL AI-GENERATED CONTENT, INCLUDING OIQ ANALYSIS, ASK OIQ RESPONSES, PRICING RECOMMENDATIONS, REVENUE FORECASTS, AND ANY OTHER OUTPUT PRODUCED BY ARTIFICIAL INTELLIGENCE WITHIN THE SERVICE IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE FINANCIAL ADVICE, ACCOUNTING ADVICE, TAX ADVICE, LEGAL ADVICE, OR INVESTMENT ADVICE OF ANY KIND.
AI-generated insights are produced by large language models that may generate inaccurate, incomplete, or misleading information. The accuracy of any AI output depends on the quality and completeness of the data you provide. OperatorIQ makes no representation or warranty that any AI-generated analysis is accurate, complete, current, or suitable for any particular purpose.
You acknowledge and agree that:
You must be at least 18 years old and have the legal authority to enter into a binding contract on behalf of yourself or your business to use the Service. By creating an account, you represent that you meet these requirements. The Service is intended for business use only and is not for personal, family, or household purposes.
You are responsible for maintaining the security of your account credentials. You must notify us immediately at legal@myoperatoriq.com if you suspect unauthorized access to your account. OperatorIQ is not liable for any loss resulting from unauthorized use of your account.
The Service is offered on a monthly subscription basis. Subscription fees are charged in advance at the beginning of each billing cycle via Stripe. By subscribing, you authorize OperatorIQ to charge your payment method on file through Stripe on a recurring monthly basis until you cancel.
Current pricing tiers are: Solo/SMB ($199/month standard), Multi-Location ($399/month standard), and Enterprise ($799/month standard). Prices are subject to change with 30 days advance notice to your registered email address. Standard rate changes do not affect active Founding Member subscriptions.
FOUNDING MEMBER RATES: The first 5 subscribers at each tier who purchase at a designated Founding Member price lock that rate permanently for the duration of their active subscription. Founding Member rates are: Solo/SMB $99/month, Multi-Location $199/month, Enterprise $499/month. The Founding Member rate applies only to continuous, active subscriptions. If a Founding Member cancels and later resubscribes, the then-current standard rate applies. Founding Member rates are non-transferable.
NEW SUBSCRIBER GUARANTEE: If you are a first-time subscriber and are not satisfied with the Service for any reason, you may request a full refund within 30 days of your first payment by contacting legal@myoperatoriq.com. This guarantee applies once per customer and does not apply to renewals.
CANCELLATIONS: You may cancel your subscription at any time through the billing portal accessible from within your account. Upon cancellation, your subscription remains active through the end of the current billing period. No partial or pro-rata refunds are issued for unused days in a billing cycle. After your subscription ends, your data remains accessible for 30 days, after which it may be deleted.
OperatorIQ reserves the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or fail to maintain valid payment information. In cases of termination for cause, no refund will be issued.
FREE TRIAL: OperatorIQ may offer a 14-day free trial for new subscribers at its sole discretion. During the free trial period, you have access to all features of the subscribed plan at no charge. No payment is collected until the trial ends. You may cancel before the trial ends to avoid any charge. After the trial period, your subscription automatically converts to a paid subscription at the applicable monthly rate unless cancelled.
Free trials are available once per customer per billing account. OperatorIQ reserves the right to modify or discontinue free trial offers at any time.
DEMO: The OperatorIQ demo at myoperatoriq.com/demo uses fictional business data (Harvest Kitchen Co.) and is provided for demonstration purposes only. By submitting your email address to access the demo, you agree to receive informational communications from OperatorIQ. Demo access does not create an account or subscription. These Terms apply to demo users with respect to acceptable use and the AI disclaimer in Section 2.
By connecting your QuickBooks, Square, or Xero account to OperatorIQ, you authorize OperatorIQ to access, retrieve, store, and analyze the financial data available through those integrations solely for the purpose of providing the Service to you. OAuth access tokens are encrypted at rest using AES-256-GCM encryption. You may disconnect any integration at any time from the Connections page within your portal, which immediately revokes OperatorIQ’s access to that integration.
You represent and warrant that you have the legal right and authority to connect any third-party accounts to OperatorIQ and to grant OperatorIQ access to the data within those accounts. You remain solely responsible for the accuracy and completeness of the data in your connected accounts. OperatorIQ is not responsible for errors, outages, or data changes originating from QuickBooks, Square, Xero, or any other third-party integration.
Documents you upload to the Service are stored in encrypted cloud storage (Cloudflare R2). You retain full ownership of all documents and data you upload. OperatorIQ will not access your uploaded documents except as necessary to provide the Service or as required by law.
You agree not to:
The Service, including all software, AI models, prompts, designs, trademarks, and content created by OperatorIQ, is the exclusive intellectual property of OperatorIQ LLC. Nothing in these Terms grants you any ownership interest in the Service or any OperatorIQ intellectual property.
You retain ownership of all data, documents, and financial information you provide to the Service. You grant OperatorIQ a limited, non-exclusive license to access, process, and analyze your data solely for the purpose of providing the Service to you.
OperatorIQ may create de-identified, aggregated benchmarks derived from data across multiple clients in the same industry (“Benchmark Data”). Benchmark Data cannot be used to identify you or your business. OperatorIQ owns all rights to Benchmark Data. Before including any of your data in Benchmark Data, OperatorIQ will provide you with at least 30 days written notice and an opportunity to opt out. Your opt-out will be honored before any inclusion occurs.
Your Indemnification of OperatorIQ:You agree to indemnify, defend, and hold harmless OperatorIQ LLC and its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law or regulation; (c) data you submit to the Service that infringes the rights of any third party; or (d) any misrepresentation you make in connection with your account or use of the Service.
OperatorIQ’s Indemnification of You:OperatorIQ agrees to indemnify, defend, and hold you harmless from and against any third-party claims alleging that the Service itself (excluding your data or third-party integrations) infringes a valid United States intellectual property right, provided you: (a) promptly notify OperatorIQ of the claim; (b) give OperatorIQ sole control of the defense; and (c) cooperate reasonably with OperatorIQ’s defense.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OPERATORIQ AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION — ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF OPERATORIQ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OPERATORIQ’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (a) THE TOTAL FEES YOU PAID TO OPERATORIQ IN THE THREE MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (b) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, OperatorIQ’s liability is limited to the fullest extent permitted by law.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. OPERATORIQ EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. OPERATORIQ DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.
OperatorIQ shall not be liable for any failure or delay in performance under these Terms to the extent caused by circumstances beyond OperatorIQ’s reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, internet or telecommunications failures, power outages, or the unavailability of third-party services on which the Service depends.
For clarity, the following third-party services are integral to OperatorIQ’s operation, and outages or changes to their APIs or terms may affect Service availability: QuickBooks (Intuit), Square, Xero, Anthropic, Stripe, and Vercel. OperatorIQ is not liable for interruptions caused by these providers. In the event of a prolonged third-party outage materially affecting the Service, OperatorIQ will communicate updates to affected users and work to restore functionality as quickly as practicable.
These Terms are governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions. Before initiating any formal legal proceeding, both parties agree to attempt to resolve any dispute through good-faith informal negotiation for at least 30 days after written notice of the dispute is provided.
If informal resolution fails, any dispute arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Iredell County, North Carolina. You consent to personal jurisdiction in those courts.
OperatorIQ reserves the right to modify these Terms at any time. We will notify you of material changes by sending an email to your registered address at least 14 days before the changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must cancel your subscription before the effective date.
Either party may terminate this agreement at any time. You may terminate by cancelling your subscription and ceasing use of the Service. OperatorIQ may terminate your access immediately if you breach these Terms.
DATA EXPORT:Upon cancellation or termination, you have 30 days to export your data from the Service. During this window, your portal remains accessible in read-only mode for data export purposes. After 30 days, your data will be permanently deleted from OperatorIQ’s systems in accordance with our Privacy Policy. To request a data export or assistance, contact legal@myoperatoriq.com.
Sections 2, 9, 10, 11, 12, and 14 survive termination.
